ARTICLE I. - NAME
The name of this organization
shall be: "LOUISIANA UNITED METHODIST HISTORICAL SOCIETY."
ARTICLE II. - PURPOSE
The Society is formed for
the following purposes in order to delineate the general goals and
objectives set out in the
official Charter of said Society, to-wit: Working with the Commission
on Archives and History
of the Louisiana Conference for the collection and preservation of materials
related to the history of the United Methodist Church in Louisiana and
its antecedents.
Developing interest in United
Methodist history and skills for pursuing it among local church historians
and others.
Stimulating the writing
of histories of local churches.
Promoting research, writing,
and publication on the history of United Methodism and the Louisiana Conference.
Locating and encouraging
preservation of appropriate sites of historical interest within the state
of Louisiana.
Publicizing, among relevant
parties, observances of historical anniversaries and other events of church
historical interest, such as Heritage Sunday.
Promoting and supporting
the Louisiana Conference United Methodist Archives at Centenary College
and the repository at Dillard University.
Engaging in such other events
or activities as shall be deemed proper by the Society and the Church,
including emphasis on improving and reaching out to promote greater interest,
loyalty, and love of our general Church Laity to stimulate the spiritual
life of our Church, and the reality of God and Jesus Christ in our daily
lives.
ARTICLE III. - MEMBERSHIP
Membership in the Society
shall be based upon payment of annual dues, and shall be derived from the
following sources:
* Persons sympathetic
with the aims and purposes of the Society.
* Persons who, by
vote of the Board of Directors or membership, may be elected honorary membership
without payment of dues.
The annual dues shall be:

The one-time fee for a Life
membership shall be $100, for those who wish to guarantee or make permanent
their participation in the work of the Society and the growth of the Archives.
A change in amount or structure
of the membership dues may be made by a vote of the majority of the Society
members in attendance at a regular or called meeting of the Society after
reasonable notice thereof.
ARTICLE IV. - MEMBERSHIP
YEAR
The official year of the
Society shall be the Annual Conference year - June 1 through May 31.
ARTICLE V. - MEETINGS
The Society shall meet at
least annually at such time and place as the Board of Directors shall determine.
Regular or special meetings may be held at the call of the President, or
upon request of a majority of the Board of Directors. Members present at
a meeting shall constitute a quorum.
ARTICLE VI. - OFFICERS
The Society shall elect
the following officers for a quadrennium at the annual meeting following
General Conference, who shall serve until their successors are elected:
1. President, Vice-President, Secretary, and Treasurer
2. Members of the Board of Directors to fill vacancies thereon.
Nominees for officers or
Board membership of the officers or membership of the Board of Directors
may be made by a vote of the majority of the Society members in attendance
at a regular
or called meeting of the
Society after reasonable notice thereof.
ARTICLE VII. - COMMITTEES
There shall be a nominating
committee for officers of the Society appointed by the President. The committee
shall report its recommendations for the officers at the annual meeting
following General Conference. There shall be an executive in the Society.
This committee should consider different types of memberships and affiliation.
ARTICLE VIII. - ADMINISTRATION
Section 1. Management of
the Society shall be vested in the Board of Directors.
Section 2. The operating
budget of the Society shall be proposed by the Board of Directors, if
deemed advisable, to the
annual meeting of the Society for Approval, together with any other recommendations.
Section 3. The Board of Directors
shall regulate its own meetings; temporarily fill vacancies in
the offices or Board of
the Society; and prescribe duties of the officers of the Society.
Section 4. Annual meetings of
the Society shall be held at the time and place approved by the
ARTICLE IX. - AMENDMENTS
The Constitution and By-Laws
shall be adopted by the Board of Directors and approved by the Society,
and may be amended by a majority of the membership present and voting,
provided that such proposed amendments be circulated within the membership
not less than two weeks prior to the meetings theron.
